普兰德(上海)贸易有限公司一般条款 

1 General  -  综述

1.1 Conflicting business conditions, written form and contract language: These General Terms and Conditions shall apply to all contracts, including all future contracts with the Customer. Other conditions shall not become a part of the contract even if we do not expressly object to such conditions. Customer may claim validity of additional agreements only before or upon conclusion of the contract and only on our immediate written confirmation. The contract language is Chinese and/or English. 
相互冲突的商务条款、书写形式和合同语言:这些一般条款应当适用于所有的合同,包括将来的与客户的合同。任何其他条款都不应当成为本合同的一个组成部分,即使我们没有明确表明反对这些条款。只有在订立合同前或时,且仅在我们即时的书面确认后,客户才可以主张附加协议的有效性。合同语言是中文和/或英文。 

1.2 Offers, right to make changes: Our offers are subject to confirmation. We reserve the right to make technical improvements to our products. 
报价及修改的权利:我们的报价是需要确认的,我们保留对我们的产品作出技术性改进的权利。 

1.3 Recording of data: We may store and process relevant contract data in our ERP systems. 
 数据的记录:我们可能在我们的ERP系统中储存和处理相关的合同数据。 

1.4 Offset and retention: The Customer shall not be entitled to offset or retain his claims against any other claims but those which are acknowledged, uncontested or final. 
抵消和保留:除了已经被承认的,没有异议的或不可更改的主张,客户没有权利以其它的理由抵消或保留他的主张。 

1.5 Rush orders / small orders: Orders having a value of less than 1000 RMB are subject to a minimum order surcharge of 200 RMB. Delivery is normally in packing units as per our valid price list. For deliveries effected within five working days or for order values below 5,000 RMB, we reserve the right to ship and invoice immediately waiving the requirement for an order confirmation. 
紧急订单/小批订单:受最低订单量得限制,订单的价值小于1000元人民币的,需要附加收200元人民币。发货通常应按照我们有效价格清单上的规格交付。需要在5个工作日内交付货物或者订单价值小于5000元人民币的,我们有权保留不必确认订单并直接发货和开票的权利。 

1.6 Place of jurisdiction and governing law: Both parties agree to settle any dispute under these General Terms and Conditions by way of friendly negotiation. In case of failure of those negotiations both parties agree to submit to arbitration of the China International Economic and Trade Arbitration Commission Shanghai Branch, according to the China International Economic and Trade Arbitration Commission Arbitration Rules. The results of the arbitration shall be final and binding on both parties. 
准据法和管辖地:双方同意根据本一般条款友好协商解决任何争端。协商不成双方同意根据中国国际经济贸易仲裁委员会仲裁规定提交中国国际经济贸易仲裁委员会上海分会仲裁。仲裁结果具有终局性并对双方有约束力。 
 

2 Delivery  -  交货 

2.1 Place of performance shall be our warehouse in Shanghai, P.R.C.. Customer assumes all responsibilities and all risks shall be deemed to be transferred to the Customer when the shipment leaves our warehouse. This shall also apply to partial deliveries, deliveries to a consignment location and all deliveries where we have agreed to provide additional services such as freight forwarding, packing, exportation and installation. 
履行地点为中国上海我们的仓库。客户已经清楚了解,当发货后货物离开我们的仓库后,所有的责任和所有的风险被认为转移给客户承担。该条款同样适用于部分交付,交付到托运地,以及所有我们同意提供额外的服务诸如货物转发,包装,出口和安装的交付。 

2.2 Should we have accepted a call or blanket order, the Customer shall be obligated to request delivery of the entire order quantity within 12 months from the order date. 
当我们接受电话订单或者总括订单,客户有义务在从订单之日起12个月内提出交付全部数量的货物的请求。 

2.3 Should there be any delay in the Customer's acceptance of a shipment we may, at our own discretion, have the products stored at Customer’s expense or, after providing a warning and setting a deadline, sell the products for the Customer’s account. 
如果客户接受货物有任何延误,我们可以自行慎重决定将货物储存,费用由客户承担。当我们再发出一次警告和设定最后期限后客户仍不接受货物的,我们有权变卖这些货物。 


3 Delivery period, Delay  -  交货期限和迟延交货 

3.1 Indicated delivery periods are EXW Shanghai warehouse. Delivery deadline shall commence upon Customer's receipt of our order confirmation and after settlement of all technical questions and after we have received all necessary documents, such as diagrams, permits, Customer required releases and all previously agreed upon advances and payments. The delivery deadline is deemed to have been met if the shipment has been declared to ready for delivery prior to the expiration of the delivery deadline. All deliveries are subject to the punctual delivery of required materials from our suppliers to our warehouse. 
指定的交货期为EXW上海仓库。当客户收到我们的订单确认和解决所有技术问题,以及我们收到所有必要的文件,比如图纸,许可证,客户要求发货的指令和收到所有之前商定的预付款和付款,开始计算交货最后期限。只要在交货最后期限届满前货物已经装载完毕待发运,就将被视作符合在最后期限前交货的要求。所有的交货将受制于我们的供货商准时将所需要的材料送到我们的仓库。 

3.2 Force Majeure, strikes, lockouts, operating breakdowns, shortages of raw materials or means of production for which we are not responsible, including delayed deliveries or failure to deliver by upstream suppliers, and modified services or products requested by the Customer, shall extend the delivery period accordingly and shall release us from our obligation to deliver if delivery becomes impossible as a result thereof. We are considered not to be responsible for the aforementioned circumstances, even where they occur during an existing delay. The same applies in case of additional or amended services requested by the Customer. 
对于不可抗力,罢工,停工,操作故障,缺少原材料或因为我方无法负责的情形,包括上游供应商迟延交付或无法交付而导致的我方无法交付,以及应客户要求更改的服务或产品,应该相应的延长交付期;如果由于以上原因导致无法交付,我们免于承担任何责任。即使对于现在已经存在的延迟发货,当上述情况发生时,我们将不承担任何责任。本条款同样适用于当客户增加或修改服务请求的情形。 

3.3 Our deliveries shall not be deemed to be in default unless the Customer has provided us with a written warning indicating that a reasonable grace period has elapsed. 
除非客户向我们发出一个书面警告指示一个合理的宽限期已经届满,否则我们的交付将不视作违约。 

3.4 In the case of requested damages for delivery delays, our liability for damage compensation shall be limited to 10% of the value of our delayed delivery or service. The limitation does not apply in the case of willful intent, gross negligence and/or damage to life, body or health. The Customer shall be obligated to promptly notify us in writing of any consequences of delay in delivery or service. 如果因为迟延交付请求损害赔偿,我们的损害赔偿责任限制在我们迟延交货或服务价值的10%。损害赔偿不包括故意,重大过失和/或对生命,身体或健康的伤害。客户有责任对任何因迟延交付的后果和服务及时书面通知我们。


4 Prices, Terms of Payment  -  价格和付款条件 

4.1 Prices quoted shall be ex-works (EXW) Shanghai warehouse including VAT, if applicable. Charges for packaging, freight and insurance shall be at the Customer’s expense. All prices are understood to be exclusive of costs for returning, recycling, and disposal of used equipment returned to us for disposal.
本文所提到的价格应该是上海仓库出厂价包括增值税。包装费,运费和保险费应当由客户承担。所有的价格应当被理解为排除返还,回收和安排用过的设备回收处理的费用。 

4.2 Invoices shall be paid in full, without deductions and must be credited to our bank account in RMB immediately or by the due date indicated on the invoice. Bills of exchange and cheques will not be accepted. 
发票应当全额支付,不得有任何扣减,费用必须立即或在发票上注明的到期日前存入我们的人民币账户。我们不接受汇票和支票。 

4.3 We retain, at our sole discretion, the right at any time to deny any extension of credit to either new or existing customers and/or to request payment in full in advance of any shipment. 
在任何时候,不论针对新的还是现有客户,我们保留由我们单方决定拒绝延长付款日期,并/或要求在发货前全额付清货款的权利。 

4.4 If the period between conclusion of the contract and delivery is longer than four months, we reserve the right to demand an extra charge at our discretion, corresponding to our cost increase. 
如果从签订合同到货物交付的期限长于四个月,我们有权酌情决定收取因我们成本增加而产生的额外费用。 

4.5 No products shall be returned without prior written authorization. Duly authorized returns are subject to an inspection- and processing fee of 15% of the invoiced value (100 RMB minimum). 
未经我们事先书面核准,任何产品不得被退还。经核准的货物退还需要收取等值于15%的发票金额的检查和处理费用(最少100元人民币)。 

4.6 Should the Customer be in default of our payment terms, payment of all of our receivables shall be immediately due in full and we shall not be obliged to make any further deliveries regardless of the terms prescribed in current delivery contracts. 
如果客户违反我们的付款条款没有及时或足额支付货款,所有我们对其的应收款项将被视为立即全部到期。 无论其现有的合同条款如何规定,我们将没有义务继续发送任何货物。 

4.7 Should the Customer be in default of payment, default interest on arrears at a rate legally applicable shall be due and payable, subject to any further claims for damages. 
客户拖欠付款,客户需立即支付我们按照法律许可的范围内对欠款收取的迟延履行违约金,并将受到我们进一步的索赔。 

4.8 We reserve the right to offset accounts payable to the Customer, such as credit notes, against our claims against the Customer. 
根据我们针对客户的权利主张,我们保留抵扣我们应付给客户账款的权利,比如信用票据。 


5 Retention of Title and Assignment of Future Claims  -  保留条款和未来主张权的指定
 

5.1 Products delivered shall remain our property until the complete and unconditional payment of all of our claims against the Customer. Should there exist any further claims against the Customer, we reserve our proprietary rights until Customer’s complete payment of these claims. 
交付的产品由我们保留所有权直至客户完全的、无条件的支付我们的债权。如果存在针对客户的进一步的权利要求,我们将保留产品所有权直到客户支付完成所有的权利要求。 

5.2 The Customer shall neither consume products nor merge nor inseparably connect products subject to retention of title with other objects, which a third party may have rights to. If products subject to retention of title, however, become a component of a new object (e.g. through the connection with other objects), then we shall be a direct proportional co-owner of this object even if it constitutes a new legal entity. Our proportion of co-ownership shall be based on the relation of the invoice value of the conditional products to the value of the new object at the time of the connection 
客户不得消耗、合并、或不可分离的将我方保留所有权的产品与那些第三方可能享有权利的物品连接。如果这些货物受到是被所有权保留的,当该货物变成一个新物品(比如:通过结合其他物品)的一个组成部分,即使它成为一个新的法律实体,我们直接成为该物品的按份共有人。我们按份所有的比例根据该附条件的货物的发票价值同连结后的新物品的价值的比例所得。 

5.3 The Customer may resell the products subject to retention of title in his due course of business as long as his claims from the resale have not been assigned, hypothecated or otherwise encumbered. 
客户在适当的时候可以转售所有权保留的产品,只要他在转售中取得的权利没有被分配、抵押或者被以其他方式损害。 

5.4 The Customer shall herewith assign to us in advance as collateral any claims against his customers from the resale of the products subject to retention of title (see clause 5.3) and/or new objects (see clause 5.2) in the amount of our invoice for the products subject to retention of title. If the Customer is not in default of payment for the products subject to retention of title, he may collect the assigned claims in his due course of business. However, he may only use the proportional proceeds for the payment of our products subject to retention of title. 
当客户向他的客户转售时,在此预先将受所有权保留的产品(看条款5.3)和/或新物品(看条款5.2)中我们的所有权保留物品的相应发票金额一致的那部分金额作为担保物指定给我们。如果客户没有违背该所有权保留货物的付款条款,那么他有权在他正当的交易中主张已指定的权利。但是,他只有权使用该所有权保留物品的部分比例的收益。 

5.5 Upon the Customer’s request, we shall release collateral at our sole discretion, if and to the degree that the nominal value of the collateral exceeds 120 percent of the nominal value of our open debt claims against the Customer. 
如果担保物的票面价值大于我们对客户未清债权的120%,根据客户的要求,我们有权单方面决定转让担保物。 

5.6 The Customer is required to immediately inform us of any distress, confiscation or any other disposition of a third party with regard to the products subject to retention of title or the products co-owned by us. 
 对保留所有权的货物或由我们共同所有货物,如果有任何的危险,征用或任何第三方的处置,客户必须及时通知我们。 

5.7 If any monetary instrument should be returned to us for insufficient funds, if debit requests or direct debit authorizations are not carried out or are retroactively cancelled, or if the Customer or the end user becomes insolvent, Customer shall lose all rights as per clause 5.3 above. The Customer must immediately notify any subsequent purchaser of our extended retention of title. He may only use the proportional proceeds, which are based on the assignment, for the payment of the products delivered. 
如果因资金不足,任何金融票据被退还给我们,如果从债务人账户扣款的要 求或者直接扣款授权书不被执行或被有追溯力的取消,如果客户或最后使用者破产,客户将按照以上5.3款失去所有的权利。客户必须立即通知任何后续买主关于 我们延伸的所有权保留。他只能使用按照指定的比例的收益用于支付交付货物的付款。 5.8 In case of default of payment or those cases covered in clause 

5.7, we shall be authorized to withdraw from the contract, and/or to demand the return of any products subject to retention of title being in the possession of the Customer and/or to directly collect the assigned claims (see clause 5.4). In order to determine our rights, we reserve the right to have the Customer's documents and books concerning our reserved rights examined by a person who is subject to the professional duty of confidentiality. 
 如果客户不履行付款义务或者出现5.7款规定的情形,我们有权解除合同,和/或要求客户返 回任何由他占有但我们保留所有权的货物,和/或直接索取债权(见5.4条款)。为了确定我们的权利, 我们保留将持有客户的一些有关我们的权利的文件,由一个专业保密操守的人员进行见证和审查的权利。 

 

6 Warranty, Liability for Spare Parts  -  保修, 配件的责任 

6.1 We warrant that our products are free from defects in materials and workmanship (under normal conditions of use and service) for the period specified in Section 7 from the date of shipment to the Customer and will conform to the contract specifications which constitute technical improvements to the product. The required characteristics, shelf life and use of our products are based solely on the written contractual specification, product description and/or operating instructions. Any information beyond this and in particular in preliminary discussions, advertisement and/or referenced industrial standards shall only become a part of the contract if they are expressly referenced in writing. All wearing and glass parts, e. g., pistons, seals, valves, diaphragms, gaskets etc., as well as the consequences of chemical, electrochemical or electrical influences or the failure to follow the instructions in the operating instructions are excluded from this warranty.  
我们保证我们的产品材料和做工(在正常状态下使用或服务)从发送给客户之日起在第7节中规定期限内没有瑕疵,并且符合合同规定的对货物的技术改进。所要求的特征,保存期限和我们产品的使用,仅遵循书面合同的规格,产品描述和/或使用说明书。除此之外的资料,尤其在初步讨论时的信息,广告中的内容和/或参考的行业标准,只有在双方明确地用书面记录同意的情形下,才能成为合同的一部分。各类磨损件和玻璃零件,如活塞,密封垫/圈,阀门,膜片,垫圈等等,以及化学的、电化学的、电学的作用后果,或者未能按照操作规程说明导致的后果的排除在保修范围之外。 

6.2 If the Customer requires the products for purposes other than those defined in clause 6.1, Customer must check before use if the products are especially suitable for such purposes - including all aspects pertaining to product safety - and Customer is required to ensure that products comply with all relevant technical, legal and official regulations and requirements. We shall not be liable for the fitness of our products for any application not expressly confirmed by us in writing. Further we shall not be liable for the accuracy of designs, specifications or materials furnished or specified by the Customer and thus have no particular testing obligation. The observation of safety-related and occupational health regulations depends on the place and conditions of the product’s use. The observation of these regulations is, therefore, the responsibility of the Customer. 
如果客户需要产品的目的在第6.1条的定义之外的,客户必须在使用之前核对,产品是否特别适合此目的-包括与产品安全有关的各方面,客户必须确保产品遵守所有相关的技术上的,合法的,官方规则和要求。我们没有责任保证我们的产品适合我们没有明确书面确认的任何用途。此外,我们对客户提供或规定的设计,规格的精确度或材料不承担责任,并且没有特别的测试义务。相关安全和职业健康规则的遵循取决于使用该产品的地点和条件。因此,以上的安全规则的遵循义务在客户一方. 

6.3 The exclusive remedy of Customer in the event of a breach of the foregoing warranty is to the replacement or repair (at our option) of any defective product. No goods shall be returned to us for repair or replacement pursuant to the warranty without prior written approval. If the Customer uses the delivered products with materials that are harmful to the environment, poisonous, radioactive or dangerous in any other way, Customer shall be obliged to clean them prior to any return shipment. All cleaning, decontamination, and shipping costs shall be the sole responsibility of Customer together with any damage to the goods that might occur from transit to or from our warehouse. 
在发生前述保修事项时,唯一的措施是,更换或修理(根据我方的选择权)任何有缺陷的产品。未经事先书面允许,任何产品不得因为保修而返还给我们。如果客户将已经交付的产品里用于有害环境的,有毒的,放射性的或其他任何可能的危险物质,客户有责任在回运前将他们处理干净。所有的清理,除污,运输费,以及客户将产品运输到我们仓库可能导致的任何损失将由客户单方面承担。 

6.4 The Customer shall be obliged to promptly and carefully check incoming products - also for product safety - and to notify us of any apparent deficiencies in writing, and of any hidden defects as soon as they become apparent. The Customer must notify the carrier immediately of any transport damage. Non-observation of the obligation to check and give notice of defects will void any and all warranty claims for those deficiencies. 
客户有责任迅速、仔细的检查接收到的产品-并为了产品安全-如果产品有任何明显的缺陷或者任何隐藏缺陷一旦显现,应尽快书面通知我们。如果产品在运输过程中受到了损害,客户必须立即通知运输方。未能尽到以上检查并给予缺陷通知的义务的,将使那些缺陷不在我们的保修范围内。 

6.5 Under no circumstances does our responsibility or warranty extend to any products other than those manufactured or distributed by us; nor does our liability extend to any products, articles or parts which are furnished by Customer or obtained from other manufacturers or suppliers at Customer’s request and/ or in accordance with Customer’s specifications.
 在任何情形下,我们的责任和保修义务都不延伸至任何我们制造或经销以外的其他产品。对于客户提供的或根据客户的要求和/或根据客户的规格、从其他制造商或供应商处得到的产品、物品或零件,我们既不承担责任,也不提供保修。 

6.6 In the event that we are unwilling or unable to repair or replace any defective or non-conforming product due to change in technical standards, technical modifications, non-availability of material or parts, or any other reason, Customer shall be entitled to a return of the purchase price paid for such product, as its sole exclusive remedy.  
在我们不愿或没有能力修理或更换任何缺陷产品,或任何因为技术标准的变化、技术改变、没有材料或配件、或任何其他原因导致的产品不合格,作为唯一的解决办法,客户有权要求返还支付这些产品的购买金额。 

6.7 THE WARRANTY SET FORTH IN SECTION 6 IS MADE IN LIEU OF ALL OTHER WARRANTIES (WHETHER EXPRESS OR IMPLIED), RIGHTS OR CONDITIONS, AND CUSTOMER ACKNOWLEDGES THAT EXCEPT FOR SUCH LIMITED WARRANTY, THE PRODUCTS ARE PROVIDED “AS IS.” WE SPECIFICALLY DISCLAIM, WITHOUT LIMITATION, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE WARRANTIES ARISING FROM A COURSE OF PERFORMANCE, A COURSE OF DEALING OR TRADE USAGE, TO THE MAXIMUM EXTENT PERMITTED BY LAW. 
在第六章规定的保修取代其他所有的保证(不管是明示还是暗示)、权利或条件。客户承认并清楚了解除了这些有限的保证外,产品将按照原样提供。我们特别拒绝承认,没有限制的,所有其他明示或暗示的任何性质的保证,包括但不限于,适用一个特别目的的商业内在保证、不侵权的保证、和那些法律最大程度允许的在合同履行、交易或贸易过程的保证。 


7 Warranty period  -  保修期 

The warranty period for all our products shall be one year and starts at the time of delivery of products to the Customer.
 我们所有货物的保修期是一年,从货物交付客户时开始起算。 


8 Limitation of Liability  -  责任范围
 

8.1 IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL OR USE, INCURRED BY CUSTOMER OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT, TORT, STRICT LIABILITY, PRODUCT LIABILITY OR IMPOSED BY STATUTE, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  
无论在任何情形下我们都不承担任何间接地、偶然的、惩罚性的、特殊的、或相应的损害赔偿,包括但不限于利润损失、收入损失、商誉损失,或由客户或任何第三方使用的损失,无论是合同行为、侵权行为、严格责任、产品责任,或法律规定、或其它规定,即使我们已经被告知这种损害的可能性。 

8.2 OUR TOTAL CUMULATIVE LIABILITY UNDER THESE GENERAL TERMS AND CONDITIONS AND ANY PRODUCT COST QUOTATION, WHETHER BASED UPON CONTRACT, TORT, EQUITY, NEGLIGENCE OR ANY OTHER LEGAL CONCEPT, SHALL IN NO EVENT EXCEED THE TOTAL FEES PAID (LESS ANY REFUNDS OR CREDITS) BY CUSTOMER FOR THE ACTUAL PRODUCT PURSUANT TO WHICH THE CLAIM AROSE. IT IS AGREED AND ACKNOWLEDGED THAT THE PROVISIONS OF THESE GENEREAL TERMS AND CONDITIONS ALLOCATE THE RISKS BETWEEN CUSTOMER AND US, THAT OUR PRICING REFLECTS THIS ALLOCATION OF RISK, AND BUT FOR THIS ALLOCATION AND LIMITATION OF LIABILITY, WE WOULD NOT HAVE ENTERED INTO THESE GENERAL TERMS AND CONDITIONS.
根据本一般条款以及任何产品的成本报价,在任何情形下,无论是根据合同、侵权、公平、疏忽、或其它法律概念,对于导致纠纷的产品所引起的索赔,我们的累计赔偿总额将不超过客户支付的实际的产品费用(扣除任何退款或付款票)。客户与我们同意并承认,本一般条款的规定分配了客户与我们之间的风险,我们的定价反应了这种风险分配;但对于这种分配和责任限制,我们将不会列入本一般条款。 

8.3 IN JURISDICTIONS THAT LIMIT THE SCOPE OF OR PRECLUDE LIMITATIONS OR EXCLUSION OF REMEDIES OR DAMAGES, OR OF LIABILITY, SUCH AS LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OR DO NOT ALLOW IMPLIED WARRANTIES TO BE EXCLUDED, THE LIMITATION OR EXCLUSION OF WARRANTIES, REMEDIES, DAMAGES OR LIABILITY SET FORTH HEREIN ARE INTENDED TO APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. 
在一些司法管辖区限制其适用范围、或排除限制或排除补救措施或损害赔偿或赔偿责任,如重大过失或故意不当行为的法律责任、或不允许的默示担保被排除的情形,对于担保、补救措施、赔偿或排斥责任的限制或排除将在法律允许的最大范围内适用。 

8.4 Customer covenants and agrees that each of his customers shall be subject to a written agreement that contains language consistent in all material respects with the limitation of liability and exclusion of damages contained in this Section 8, limiting the liability of Customer and types of damages that can be pursued against Customer by his customers. 
客户将签约并同意:其每一个客户应该签署一个书面的协议,该协议将包含与本第8章条款规定的责任限制以及免于赔偿损失方面相一致的内容,来限制客户对于其客户的责任和损害赔偿。 


9 Software use  -  软件使用 

9.1 As far as software is contained in the delivery, the Customer will be granted the non-exclusive right to use the software delivered including its documentation. Use of the software on more than one system is prohibited. 
当在交付中包含了软件,客户将被许可非排他性使用该交付的软件,并包括其文件。但禁止在超过一个以上的系统里使用该软件。 

9.2 The Customer may only copy, transfer or translate the software for backup purposes. Reverse engineering or modifying of software is prohibited. The Customer is obliged to not remove our and/ or the Software Supplier’s instructions, especially copyright entries, or to change them without our prior permission.  
客户仅可以为了备份而复制,转移或翻译该软件。禁止反向工程和修改软件。客户不得删除我们和/或软件供应商的说明书,特别是版权条目,或者未经事先同意修改。 

9.3 All remaining rights to the software and the documentation thereof, including copies, remain with us and/or Software Supplier. Granting of sublicenses is strictly forbidden. 
所有软件、包括复制的软件以及文件的权利归我们或软件供应商所有。严禁转让许可。 


10 Installation  -  安装 

10.1 Installation costs shall be invoiced monthly. Fixed installation prices shall apply to the installation work as agreed upon. Otherwise, our price list for installation and service costs shall apply. 
安装费将按月开具发票,约定费用的安装工作采用约定的安装费。否则,我们的安装和服务费价目将适用。 

10.2 As far as required the Customer shall be responsible for providing the following at his own expense: lighting, motive power, compressed air, water, electrical power for welding, heating including any required connections, electrical installations for the connection of the products delivered by us, the required devices (e.g., hoisting equipment), a lockable room for storing material, tools and clothing during the installation. 
当需要时,客户有责任自费提供以下事项:照明设备、动力、压缩空气、水、焊接用电、加热,并包括任何必须的连接、我们交付的产品连接的电器装置、所需的设备(比如,起重设备),以及安装时用于储存材料、工具和衣物的可锁的房间。 


11 Spare Parts, Maintenance/Repair and Calibration  -  零配件,维护/修理和校准 

11.1 For spare parts, maintenance, repair and calibration services our current repair and replacement price list shall apply. 
对零配件、维护/检修和校准服务,按照我们当前的维修和更换价目表操作。 

11.2 In case we have an obligation to maintain/deliver spare parts, the obligation shall be limited to a period of five years from the date of delivery of the products. As far as spare parts are not manufactured by us or are no longer available on the market, e.g. electrical components, or as far as raw materials required for spare part production are no longer available, our obligation to supply spare parts shall be void. 
如果我们有责任维修/交付零配件,该责任将仅限于交付在交付产品的5年内。对于我们不再生产的零配件,或市面上不再有销售的零配件,比如:电子部件,或当市场上不再有生产零部件需要的原材料,我们将不再有责任提供零部件。 

11.3 Calibration and servicing shall be performed by using our original disposables and spare parts. 
 校准和维修应当用我们生产的耗材和零配件。 

11.4 Any servicing and/or calibration service shall only be performed upon presentation of a proper and duly signed declaration on the absence of health hazards for each product presented for service and or calibration. 
任何产品在要求做维修和校验时,只有在提交一个适当的并正式签署过的无健康危险声明后,我们方可执行维修和校验服务。 

11.5 Servicing- and/or repair costs of less than 500 RMB may be invoiced without prior cost estimate. 
对于成本小于500元人民币的维修-和/或修理,可以不经过事先估算成本而开具发票。 


12 Legal reservation, Industrial proprietary rights, secrecy  -  法律保留,工业产权,保密性 

12.1 We reserve ownership in any of the tools, moulds, samples, diagrams, commercial or technical documents produced or provided by us as well as all copyrights, proprietary and intellectual property rights in any such item. This also applies if the corresponding costs are wholly or partly borne by the Customer. The Customer may use any of the above only as agreed to in writing. The Customer may neither manufacture nor have manufactured subjects of this agreement without our prior written approval. 
我们对我们生产或提供的所有的工具、模具、样品、图表、商业或技术文件、以及著作权,财产权和任何此类物品的知识产权保留所有权,这也适用当客户提供相应全部或部分成本的情况。只有书面同意后,客户方可使用任何以上物品。未经我们事先书面许可,客户不得制造和占有本协议中的制造品。 

12.2 If we deliver products according to designs or other requirements specified by the Customer (models, samples etc.), the Customer shall be liable by default for eventual infringements of industrial property rights or other rights of third parties by manufacturing and delivery of such products . He shall be obligated by default to provide compensation for all damages resulting from such legal infringements. 
如果我们根据客户的设计或其他要求(模型,样品等)交付产品,由于生产和交付的这些产品导致的侵犯工业产权或其他第三方的权利的责任将由客户承担。客户有义务对这些法律侵权行为造成的所有损害后果承担赔偿责任。 

12.3 All information acquired through the business relationship with us which is not deemed to be public knowledge shall be deemed proprietary and may not be disclosed to any third party. 
所有通过和我们商业合作关系取得的信息不属于公共信息,我们具有所有权,这些信息不得披露给任何第三方。
